Version 2.0 | Effective Date: November 6, 2026
These Terms and Conditions of Sale and Website Use (these “Terms”) govern your access to and use of the website located at nationaldirect.shop (the “Website”) and every purchase of products through the Website. The Website is operated by Dataflow, Inc., including its National Direct division (“Dataflow,” “we,” “us,” or “our”). “You,” “your,” and “Customer” mean the individual or organization that uses the Website or places an order. Please read these Terms carefully before using the Website.
1. Acceptance of Terms
1.1 Agreement. By checking the acceptance box at checkout and submitting an order, you agree to comply with and be bound by these Terms, the Shipping Policy, and the Privacy Policy, each of which is incorporated into these Terms by reference. If you do not agree to these Terms, do not use the Website or purchase products from us.
1.2 Use of the Website. Sections 9, 10, 12, 13, and 20 apply to all use of the Website, whether or not you place an order.
1.3 Seller. All products offered on the Website are sold by Dataflow, Inc., including its National Direct division. No other Dataflow entity or affiliate is a party to any sale made through the Website.
1.4 Authority. If you place an order on behalf of a business or other organization, you represent that you are authorized to bind that organization to these Terms, and “you” includes that organization.
1.5 Conflicting Terms. These Terms govern every order. Any additional or conflicting terms in a Customer purchase order, vendor registration form, or other Customer document are rejected and have no effect, unless an authorized officer of Dataflow agrees to them in a signed writing.
2. Products Sold
2.1 Products. The Website offers the sale of products including, without limitation:
- Printing machines and equipment
- Ink and toner cartridges
- Paper products
- Other printing consumables and supplies
2.2 Availability. Products are available for purchase and delivery based on availability. Product offerings, specifications, and availability may change without notice.
2.3 Product Information. We work to describe and display products accurately. Product descriptions and specifications are generally supplied by manufacturers, and we do not warrant that they are complete, current, or error free. Product images are for illustration only and may differ from the product delivered.
2.4 OEM, Compatible, and Remanufactured Supplies. The Website offers supplies made by original equipment manufacturers as well as compatible and remanufactured supplies. Certain supplies offered on the Website are compatible or remanufactured products that are not made by the original equipment manufacturer (“OEM”). These products are identified as such on the product page. OEM brand names and model numbers are used only to identify compatibility. Dataflow is not affiliated with, sponsored by, or endorsed by any OEM whose name appears on the Website.
3. Pricing and Payment
3.1 Prices. All prices are listed in U.S. dollars and are subject to change without prior notice. Subject to Section 3.3, the price that applies to your order is the price in effect at the time you place the order.
3.2 Taxes, Shipping, and Handling. All prices exclude applicable taxes, shipping, and handling charges unless otherwise stated. These charges are calculated and displayed at checkout.
3.3 Pricing and Listing Errors. Dataflow reserves the right to cancel or limit any order resulting from pricing inaccuracies, typographical errors, inventory discrepancies, supplier errors, manufacturer pricing changes, or system errors. This right applies even after an order confirmation has been sent and even if payment has been charged. If we cancel or limit an order for any of these reasons, we will refund any amount paid for the affected products, and we may offer you the option to purchase the products at the corrected price.
3.4 Payment Methods. Payment must be made in full at the time of purchase by credit card, PayPal, or any other electronic payment method offered at checkout. Dataflow does not accept checks or money orders for Website orders. The only exception is an order placed by an Existing Customer on invoice terms under Section 3.6.
3.5 Payment Processing. Card payments are processed by a third party payment processor. Dataflow does not receive or store full payment card numbers.
3.6 Existing Customer Accounts. Invoice terms are available only to Existing Customers. An “Existing Customer” is a customer with a pre‑established credit account that Dataflow approved and set up separately, before the order is placed. Credit accounts cannot be requested, approved, or established at checkout or as part of placing an order, and no order creates a credit account. Invoices are due according to the terms stated on the invoice. Past due balances accrue interest at the rate of one and one half percent (1.5%) per month (eighteen percent (18%) per year), or the maximum rate permitted by applicable law, whichever is less, from the due date until paid. Dataflow may suspend shipments, reduce or revoke credit, or require prepayment on any account that is past due.
3.7 Collection Costs. Customer agrees to reimburse Dataflow for reasonable attorneys’ fees, court costs, and collection costs incurred in collecting any amount Customer owes, where permitted by law.
4. Order Process and Availability
4.1 Placing Orders. You may place orders directly through the Website by selecting the desired products and completing the checkout process.
4.2 Order Confirmation and Acceptance. Once an order is placed, you will receive a confirmation email. The confirmation email acknowledges that we received your order. It is not an acceptance of your order. All orders are subject to acceptance and availability, and an order is accepted only when the products ship.
4.3 Out of Stock Items. Orders are subject to product availability. If an item is out of stock, we will notify you and provide an option for a refund or a substitution.
4.4 Quantity Limits. Dataflow reserves the right to limit the quantities of any products purchased, per order, per account, or per household or organization.
4.5 Fraud Prevention. Dataflow may refuse, delay, verify, hold, or cancel any order that appears fraudulent or unauthorized. We may request additional information to verify your identity, payment method, or shipping address before shipping. If we cancel an order under this Section after payment has been charged, we will refund the amount paid, except as otherwise required by law.
4.6 Right to Refuse or Cancel. In addition to the rights stated elsewhere in these Terms, Dataflow may refuse or cancel any order, in whole or in part, at any time before shipment, for any lawful reason. If we cancel an order you have paid for, we will refund the amount paid for the cancelled products.
4.7 Account Security. You are responsible for keeping your Website login credentials confidential and for all orders placed under your login. Notify us promptly if you believe your account has been used without your authorization.
5. Shipping and Delivery
5.1 Shipping Policy. Shipping and delivery are governed by our Shipping Policy, which is part of these Terms.
5.2 Delivery Area and Costs. We offer shipping to locations within the United States. Shipping costs are calculated and displayed during the checkout process.
5.3 Delivery Estimates. Shipping dates and delivery times are estimates and will vary depending on your location and the shipping method selected at checkout. Dataflow is not responsible for delays caused by carriers or by circumstances beyond our reasonable control.
5.4 Shipping Information. Customers are responsible for providing accurate and complete shipping information. Dataflow is not responsible for lost, misdelivered, or delayed shipments caused by incorrect or incomplete information provided by the Customer, and any resulting redelivery or address correction charges will be billed to the Customer.
5.5 Separate Shipments. Orders may ship separately. Shipping charges are not affected by our decision to ship an order in more than one shipment.
5.6 Risk of Loss and Title. Risk of loss passes to Customer when Dataflow delivers the products to the carrier. Title passes to Customer when Dataflow receives payment in full.
5.7 Inspection. Customer must inspect every shipment and report damage, shortages, or incorrect items within the time stated in the Shipping Policy.
6. Returns, Refunds, and Exchanges
We strive to ensure the quality of our products. If you are not satisfied with your purchase, the following return and refund policy applies.
6.1 Return Authorization Required. You must contact us and obtain a Return Authorization (“RA”) number before returning any product. Returns received without an RA number may be refused and returned at your expense.
6.2 Eligible Returns. Products may be returned within thirty (30) days after delivery, provided they are unused, unopened, and in their original packaging.
6.3 Restocking Fee. All approved returns, including equipment and supplies, are subject to a restocking fee of twenty percent (20%) of the purchase price. The restocking fee does not apply to defective or incorrect products handled under Section 6.6. Additional deductions may apply if products are returned damaged, incomplete, improperly packaged, or in a condition that prevents resale, subject to applicable law.
6.4 Nonreturnable Products. Consumable items such as ink, toner, and paper are not returnable once opened. Special order, custom, and made to order products are not returnable.
6.5 Refunds. Upon receipt and inspection of an approved return, a refund will be issued to the original payment method within thirty (30) days. Shipping costs are not refundable, except where the return results from our error.
6.6 Defective or Incorrect Products. If you receive a defective or incorrect product, you must notify us within fourteen (14) days after delivery. We will arrange for a repair, a replacement, or a refund, at our option. After that period, defects in equipment are handled under the manufacturer’s warranty. Damage that occurs in transit must be reported as stated in the Shipping Policy.
6.7 Exchanges. An exchange is processed as a return of the original product under this Section 6 and a new order for the replacement product.
7. Warranties and Disclaimer
7.1 Manufacturer Warranties. Products available on the Website are sold with their respective manufacturers’ warranties, if any. Dataflow does not provide any additional warranty beyond what is provided by the manufacturer. To the extent permitted, Dataflow passes through to Customer any manufacturer warranty that accompanies a product.
7.2 Disclaimer. EXCEPT FOR ANY MANUFACTURER’S WARRANTY DESCRIBED IN SECTION 7.1, PRODUCTS ARE SOLD “AS IS.” TO THE FULLEST EXTENT PERMITTED BY LAW, DATAFLOW MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PRODUCTS OR THE WEBSITE, AND DATAFLOW SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT, AND ANY WARRANTY REGARDING THE SUITABILITY OF ANY PRODUCT FOR YOUR NEEDS.
7.3 Service Agreements. If Customer purchases a separate service agreement from Dataflow covering a product, the terms of that service agreement govern Dataflow’s obligations under it.
8. Limitation of Liability
8.1 Excluded Damages. TO THE FULLEST EXTENT PERMITTED BY LAW, DATAFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE PURCHASE OR USE OF PRODUCTS OR THE USE OF THE WEBSITE, INCLUDING LOST PROFITS, LOST DATA, AND BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.
8.2 Liability Cap. DATAFLOW’S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE PURCHASE OF PRODUCTS IS LIMITED TO THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.
8.3 Exceptions. THE LIMITATIONS IN THIS SECTION 8 DO NOT APPLY TO ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.
9. Intellectual Property
9.1 Ownership. All content on the Website, including text, graphics, logos, images, and software, is the property of Dataflow or its content suppliers and is protected by intellectual property laws.
9.2 Restrictions. You are not permitted to use, reproduce, distribute, or modify any part of the Website without our express written consent.
9.3 Third Party Marks. Manufacturer names, product names, and trademarks displayed on the Website belong to their respective owners and are used for identification only.
10. Privacy Policy
Your use of the Website and your purchase of products are also governed by our Privacy Policy, which describes how we collect, use, share, and protect your information.
11. Sales Tax
11.1 Collection. Dataflow collects and remits sales tax in accordance with applicable state and local tax laws, including New York State sales tax. You agree to pay any applicable taxes on your purchase based on your shipping destination.
11.2 Exemptions. Orders ship tax free only if a valid exemption certificate (for example, New York Form ST‑119.1 for exempt organizations) or resale certificate (for example, New York Form ST‑120) is on file with Dataflow before the order ships.
11.3 No Refund of Tax. Tax charged on an order shipped before a valid certificate was on file will not be refunded.
12. Governing Law and Disputes
12.1 Governing Law. These Terms and every sale made through the Website are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
12.2 Exclusive Venue. Venue for any dispute arising out of or relating to these Terms, the Website, or any order lies exclusively in the state and federal courts located in Broome County, New York. You consent to the personal jurisdiction of those courts and waive any objection to venue there.
12.3 Jury Waiver. EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ITS RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR ANY ORDER.
12.4 Time to Bring Claims. Any claim arising out of or relating to these Terms or any order must be brought within one (1) year after the claim arises, to the extent permitted by law.
13. Changes to Terms
We may modify these Terms from time to time by posting a revised version on the Website with a new effective date. Revised Terms apply to orders placed after they are posted. The Terms in effect when you placed an order govern that order.
14. Export Compliance
14.1 Compliance. Products may not be exported, reexported, or transferred in violation of law, including the U.S. Export Administration Regulations.
14.2 Customer Responsibility. Customer is responsible for obtaining any license or authorization required to export, reexport, or transfer any product, and for complying with all applicable export laws after delivery.
15. Sanctions
15.1 Prohibited Transactions. Dataflow may decline, suspend, or cancel any transaction that is prohibited by law, economic sanctions, or export controls, including sanctions administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control.
15.2 Customer Representation. By placing an order, you represent that you are not named on, owned or controlled by any party named on, or acting on behalf of any party named on, any U.S. government restricted party list, and that you will not use, sell, or transfer any product in violation of sanctions or export control laws.
16. Indemnification
You agree to indemnify, defend, and hold harmless Dataflow and its owners, officers, employees, and agents from and against all claims, losses, damages, and expenses, including reasonable attorneys’ fees, arising out of your misuse of any product or the Website, your breach of these Terms, or your violation of any law or the rights of any third party.
17. Customer Uploaded Content
If you upload artwork, logos, documents, or other files to the Website, you represent that you own them or have all rights necessary to use them, and you grant Dataflow a limited right to use them to fulfill your order. You agree to indemnify Dataflow against any claim that your files infringe or violate the rights of any third party.
18. Force Majeure
Dataflow is not responsible for any delay or failure to perform caused by events beyond its reasonable control, including carrier delays, weather, natural disasters, epidemics, supplier or manufacturer shortages, labor disputes, utility or internet outages, cyberattacks, and acts of government.
19. Electronic Communications
You consent to receive order confirmations, invoices, notices, and other communications from Dataflow electronically. Electronic communications satisfy any legal requirement that a communication be in writing, and your electronic acceptance of these Terms has the same effect as a signature.
20. General Provisions
20.1 Entire Agreement. These Terms, together with the Shipping Policy and the Privacy Policy, are the entire agreement between you and Dataflow regarding the Website and orders placed through it, and they supersede any prior or contemporaneous statements regarding those subjects.
20.2 Signed Agreements. Any separate written agreement signed by both Customer and Dataflow controls where it conflicts with these Terms.
20.3 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.
20.4 No Waiver. Dataflow’s failure to enforce any provision of these Terms is not a waiver of its right to enforce that provision later.
20.5 Assignment. You may not assign these Terms or any order without Dataflow’s prior written consent. Dataflow may assign these Terms to an affiliate or to a successor to its business.
20.6 Survival. Sections 3.6, 3.7, 6, 7, 8, 9, 12, 14, 15, 16, 17, and 20 survive completion of any order and any termination of your use of the Website.
